Treasury and Balance Sheet Management Services & Proprietary Software Platform

Effective Date: October 1, 2026

IMPORTANT LEGAL NOTICE: Please read this document carefully before utilizing the professional advisory services or the proprietary software suite provided by Treasury and Balance Sheet Management. By engaging our services or accessing our technology platform, you acknowledge and agree to be bound by the terms, exclusions, and limitations outlined below.

1. Scope of Services and Technology

This disclaimer governs both: (i) the professional consulting, advisory, and balance sheet evaluation services (collectively, the ‘Services’), and (ii) the proprietary software systems, modules, dashboards, and programmatic interfaces (collectively, the ‘Software’) hosted or provided by Treasury and Balance Sheet Management (‘the Company’). All technical configurations, algorithmic forecasting outputs, data analytics, and reporting templates are subject to the restrictions and limitations defined herein.

2. No Fiduciary or Regulated Financial Advice

The Software and Services provided by the Company are designed exclusively to serve as strategic analytical tools, workflow automation mechanisms, and administrative supports for corporate financial management. The Company is not a registered investment dealer, fiduciary, broker, banking institution, or legal advisor under Canadian or United States securities laws. No component of the Software or Services constitutes legal, tax, accounting, audit, investment, or regulatory advice. Client enterprise management retains sole responsibility for evaluating all balance sheet modeling outputs and verifying their compliance with applicable accounting standards (e.g., IFRS, US GAAP) before executing any real-world transaction, liquidity allocation, or hedge structure.

3. Accuracy of Data, Feeds, and Algorithmic Projections

While the Company endeavors to maintain structural integrity and software precision, the Software relies heavily on variable parameters, user input variables, and third-party data pipelines (including but not limited to real-time interest rate indices, foreign exchange feeds, central bank reference rates, and corporate banking APIs).

  • Projections and Models: Any predictive balance sheet models, net interest income (NII) simulations, liquidity risk evaluations, or asset-liability management (ALM) stress tests generated by the Software are mathematical estimations based on mathematical logic and historical datasets. They do not guarantee future corporate performance or market behavior.
  • Feed Interruptions: The Company disclaims all liability for transaction processing latencies, API disconnection errors, or structural pricing imbalances stemming from third-party vendor platforms or upstream clearing networks.

4. Cross-Border Jurisdictional Provisions (Canada and the United States)

The Company is headquartered and primarily operated out of Canada, and its operational frameworks conform explicitly to Canadian commercial laws.

  • Canadian Operations: The baseline configuration of the Software assumes standard Canadian corporate treasury conditions and provincial regulatory standards where applicable.
  • United States Availability: The Software and Services are available to enterprise clients within the United States. However, U.S.-based clients are entirely responsible for tailoring their operational parameters to ensure compliance with localized frameworks, including the Uniform Commercial Code (UCC), Federal Reserve regulations, Securities and Exchange Commission (SEC) reporting requirements, and State-specific corporate governance mandates.

5. Governing Law and Dispute Resolution

This disclaimer, along with any operational agreements, Master Services Agreements (MSAs), or Software-as-a-Service (SaaS) covenants, shall be governed by, construed, and enforced in accordance with the laws of Canada and the specific Province of corporate registry, without regard to conflict of law principles. Any legal disputes arising under these terms shall fall under the exclusive jurisdiction of the designated provincial or federal courts located in Canada.
